Usage policies & Conditions

1. Online Service
The Website and the Online Service, including all features and functionalities, instant streaming, our website and account holder interfaces, and all digital content and software associated therewith (the "Service"), are offered under the usage policies and conditions stated in this document, called the Terms of Use ("Terms"), together with the other agreements and documents referenced herein, including any future amendments to any of the foregoing (collectively, the "Agreement").
By using the Website and/or the Online Service, either as a Member Account holder, a recipient of an email from a registered account holder, or an account holder ("you" or "your"), you agree to the User Agreement. You agree that the User Agreement is a binding contract between you and PrimeEcomSetup Inc, with its registered office at 627 SW Jeanne St Port Saint Lucie FL 34953 US ("PrimeEcomSetup Inc", "we", "us", or "our"), the company that owns and operates the Website (the "Site").
If you do not wish to be bound by these Usage Policies and Conditions, you should immediately stop using the Website and the Online Service.
2. The User Agreement
No contract or User Agreement is formed, and you have no rights to the Online Service unless and until PrimeEcomSetup Inc has agreed to provide you with the Online Service.
PrimeEcomSetup Inc may amend or modify the User Agreement at any time without prior notice. Any changes become effective immediately upon posting the amended or modified Usage Policies on the Website or if PrimeEcomSetup Inc otherwise notifies you of such amendments or modifications.
If you continue using the Website and/or the Online Service after PrimeEcomSetup Inc posts or provides notice of such amendments or modifications, you accept the User Agreement as amended or modified. If you do not accept and abide by the amended or modified User Agreement, you should not use the Website or the Online Service.
PrimeEcomSetup Inc may refuse any application to use the Services for any reason whatsoever.
3. License & Digital Content
License
PrimeEcomSetup Inc grants you a non-exclusive, limited license to use the PrimeEcomSetup Inc Services, including accessing and viewing the Digital Content on a viewing-only basis through the Website for personal, non-commercial purposes, as set forth in these Usage Policies. We reserve the right, in our sole and absolute discretion, to make changes without notice to how we operate our Online Service. Any description of how our Online Service works should not be considered a representation or obligation regarding how the Online Service will operate in the future.
We are constantly making adjustments to our Online Service, and these adjustments may not always be fully reflected in these Usage Policies.
The Digital Content
You may only access and view the Digital Content personally and for non-commercial purposes in compliance with these Usage Policies.
You may not, either directly or through the use of any device, software, internet website, web-based online service, or other means, remove, alter, bypass, avoid, interfere with, or circumvent any copyright, trademark, or other proprietary notices marked on the Digital Content, or any digital rights management mechanism, device, or other digital content protection or access-control measure associated with the Digital Content, including geo-filtering mechanisms.
You may not, either directly or through the use of any device, software, internet website, web-based online service, or other means, copy, download, stream-capture, reproduce, duplicate, archive, distribute, upload, publish, modify, broadcast, perform, display, sell, transmit, or retransmit the Digital Content unless expressly permitted by PrimeEcomSetup Inc in writing.
You may not incorporate the Digital Content into, or stream or retransmit the Digital Content through, any hardware or software application, or make it available through frames or inline links, unless expressly permitted by PrimeEcomSetup Inc in writing.
Furthermore, you may not create, recreate, distribute, or advertise an index of any significant portion of the Digital Content unless authorized by PrimeEcomSetup Inc. You may not build a business utilizing the Digital Content, whether for profit or otherwise.
The Digital Content covered by these restrictions includes, without limitation, any text, graphics, layout, interface, logos, photographs, audio and video materials, and still images. In addition, you are strictly prohibited from creating derivative works or materials that are derived from or based on the Digital Content in any way, including montages, mash-ups, videos, wallpaper, desktop themes, greeting cards, and merchandise, unless expressly permitted by PrimeEcomSetup Inc in writing.
This prohibition applies even if you intend to distribute the derivative materials free of charge.
Availability
The availability of Digital Content may change from time to time and from country to country. The quality of the display of Digital Content may vary from computer to computer and may be affected by a variety of factors, including your location, the bandwidth available through your internet connection, and the speed of your internet connection.
PrimeEcomSetup Inc makes no representations or warranties regarding the quality of your viewing experience.
Geographic Limitation
You may view the Digital Content through the Online Service only in geographic locations where we offer the Online Service and have licensed the applicable movie or TV show. The Digital Content available for viewing may vary by geographic location.
PrimeEcomSetup Inc may use technologies to verify your geographic location.
Credentials
You are expected to receive your unique login credentials by email, which should arrive within five minutes of successful activation.
4. Customer Support Online Service
To use the Services, any device on which you wish to use the Services must meet the minimum requirements of the Website, including: an internet connection, a web browser, JavaScript, Shockwave, and Flash. During the term of the Service and for Member Users, the Online Service includes: (a) a reasonable amount of assistance in the use of the Online Service and reasonable efforts to diagnose and resolve problems related to the use or delivery of the Online Service; and (b) updates and revisions to the Website and Services that PrimeEcomSetup Inc elects to provide to Member Users generally (collectively, the "Support Services").
Customer Support Services are provided only during PrimeEcomSetup Inc's regular business hours and exclude weekends and PrimeEcomSetup Inc holidays. PrimeEcomSetup Inc may determine the timing and method of delivery of Customer Support Services at its sole discretion, which may include communication by email.
In order to take advantage of Customer Support Services, you may be required to purchase additional or different equipment or services from third parties.
PrimeEcomSetup Inc has no obligation to provide any other assistance, customer support, maintenance, or other services, or to perform any assistance by any other method, such as at your location. If PrimeEcomSetup Inc, in its sole discretion, agrees to provide any additional services, such additional Online Services shall be governed by these Usage Policies and Conditions.

5. Charges and Payment
Your monthly plan begins the moment you subscribe to the Online Service for a fee of $39.99. If you do not unsubscribe, the Online Service will automatically renew every thirty days, and you, as the account holder, authorize a recurring monthly charge of $39.99 to your credit card.
This is a monthly subscription plan for the Online Service. The applicable charges for the recurring monthly plan are displayed in your member area and welcome email.
In the event of an unsuccessful recurring payment, PrimeEcomSetup Inc reserves the right to apply a discounted membership rate, allowing you continued access to the Service. If this discounted rate cannot be processed successfully, an administrative fee of up to $3.00 may be applied to maintain your subscription until the full or discounted subscription fee is successfully processed.
The applicable charges will be communicated to you through the Services and the Website.
PrimeEcomSetup Inc, to the fullest extent permitted by U.S. law, is not liable for any inconvenience or damages caused by the use of a particular Payment Method, including delays in payment processing or inability to make payment. In such cases, you should direct any complaint to the provider of the Payment Method in accordance with its applicable terms and conditions. Charges may appear on your bank statement as caloricv.com.
Internet Access Charges
You are responsible for any costs incurred in accessing the internet.
6. Cancellation
Term
The account holder has the right to cancel the plan at any time after registration. If the account holder chooses to cancel the plan after regular billing has begun, the plan will be cancelled immediately, and the account will remain active until the end of the period already paid for.

Online Service Termination
Except as stated below, you agree that PrimeEcomSetup Inc may modify, suspend, discontinue, or otherwise terminate the Online Service or the User Agreement, on either a temporary or permanent basis, at any time, in whole or in part, for any reason or no reason, with or without notice, and without liability to you.
For example, and without limitation, PrimeEcomSetup Inc may terminate or suspend your access to the Online Service for lack of use, failure to pay account charges within the period designated by PrimeEcomSetup Inc, registering more than one free account, using multiple free accounts, maintenance of the Website, performance of Customer Support Services, failure to follow the rules posted on the Website or in these Usage Policies, actions outside these Usage Policies, or any other reason determined by PrimeEcomSetup Inc.
Unless you have violated these Usage Policies, and if you are a Paid Account holder, any material modification that negatively impacts the Online Service, or any suspension, discontinuance, or termination of the Online Service or User Agreement, will occur at the end of the current term of the Online Service.
Notwithstanding the foregoing, PrimeEcomSetup Inc may make a material modification that negatively impacts the Online Service, or suspend, discontinue, or otherwise terminate the Online Service or User Agreement at any time by refunding the prorated portion of the charges you have paid for the current term of the Online Service through the end of that term. Continued use of the Online Service by a Paid Account holder after any such material modification or suspension constitutes the Paid User's agreement to waive any claim for a refund of charges.
Other Remedies
In addition to, or as an alternative to, termination, cancellation, or discontinuance of the Website and/or the Online Service, PrimeEcomSetup Inc may take any action it deems necessary or appropriate, in its sole discretion, in the event of your breach of the User Agreement. Such actions may include, without limitation, suspending your access to the Website and/or the Online Service, blocking your IP address, or using any other technical or legal means available to PrimeEcomSetup Inc.
Effect of Termination
Upon expiration, termination, cancellation, or discontinuance of the Website and/or the Online Service, your right to use the Website and/or the Online Service will cease as provided above. You will no longer have the right to access your account or any files or other digital content contained within your account, although residual copies may be retained in PrimeEcomSetup Inc's systems.
PrimeEcomSetup Inc may retain any such files or digital content at its discretion.
Any suspension, termination, or cancellation will not affect your obligations to PrimeEcomSetup Inc under these Usage Policies and Conditions, including, without limitation, provisions relating to proprietary rights and ownership, indemnification, and limitation of liability, which by their nature and context are intended to survive such suspension, termination, or cancellation.
7. Refunds
You may cancel your subscription at any time by accessing your account settings or by contacting our customer support team. Upon cancellation, you may request a refund.
We will process any refund due to you (less any deductions due to us) without undue delay and no later than seven days from the date you notify us of your decision to cancel. Refunds will be credited to your payment card within a maximum of fourteen days from the date of cancellation. We will issue the refund using the same payment method that you used when placing your order, unless you have expressly agreed otherwise.
These cancellation rights do not affect your statutory or legal rights.
8. Your Responsibilities
You agree to use the Services only for lawful, non-commercial, and appropriate purposes. You agree to comply with the Services, Digital Content, and embedding restrictions described above, and further agree that you will not access the Website or use the Services in any manner that:
Violates the rights of others, including patent, trademark, trade secret, copyright, privacy, publicity, or other proprietary rights;
Uses technology or other means to access, index, frame, or link to the Services (including the Digital Content) that is not authorized by PrimeEcomSetup Inc, including by removing, disabling, bypassing, or circumventing any Digital Content protection or access-control mechanisms intended to prevent unauthorized downloading, stream-capturing, linking, framing, reproduction, access, or distribution of the Services;
Involves accessing the Services (including the Digital Content) through any automated means, including robots, spiders, or offline readers, other than individually performed searches on publicly accessible search engines solely for the purpose of creating publicly available search indices and not caches or archives, and excluding those search engines or indices that host, promote, or primarily link to infringing or unauthorized Digital Content;
Introduces viruses or any other computer code, files, or programs that interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment;
Damages, disables, overburdens, impairs, or gains unauthorized access to the Services, including servers, computer networks, or user accounts;
Removes, modifies, disables, blocks, obscures, or otherwise impairs any advertising associated with the Services, including the Digital Content;
Uses the Services to advertise or promote services that have not been expressly approved in advance in writing by PrimeEcomSetup Inc;
Collects personally identifiable information in violation of the PrimeEcomSetup Inc Privacy Policy;
Encourages conduct that would constitute a criminal offense or give rise to civil liability;
Violates these Usage Policies or any guidelines or policies posted by PrimeEcomSetup Inc;
Interferes with any other party's use and enjoyment of the Services; or
Attempts to engage in any of the foregoing activities.
Accordingly, you undertake that:
You will stream and watch Digital Content for personal and private use only, and not for any direct or indirect commercial purpose;
You will not, and will not encourage or assist any other person to, copy, reproduce, lend, rent, broadcast, distribute, or transmit any Digital Content;
You will not, and will not encourage or assist any other person to, circumvent, modify, remove, reverse-engineer, decompile, disassemble, alter, or otherwise tamper with any security, encryption, or other rights-management technology or software that forms part of any Digital Content or any means by which we stream Digital Content to you.
9. Suspension / Discontinuation
We hope not to, but we may change, suspend, or discontinue, temporarily or permanently, some or all of the Services (including the Digital Content and the devices through which the Services are accessed), with respect to any or all users, at any time and without notice.
You acknowledge that PrimeEcomSetup Inc may do so at its sole discretion. You also agree that PrimeEcomSetup Inc will not be liable to you for any modification, suspension, or discontinuance of the Services, although PrimeEcomSetup Inc may, at its sole discretion, provide you with a credit, refund, discount, or other form of consideration (for example, additional days of Online Service credited to your account). However, if PrimeEcomSetup Inc terminates your account or suspends or discontinues your access to the Services due to your violation of these Usage Policies, you will not be eligible for any such credit, refund, discount, or other consideration.
10. Copyright
All Digital Content is owned by PrimeEcomSetup Inc or its third-party licensors, as applicable, unless otherwise indicated. The materials may not be used except as provided in these Usage Policies and any other applicable terms and conditions provided to you, without our prior written permission.
You acknowledge and agree that certain Digital Content provided to you is the property of third-party licensors. Without prejudice to any other rights and remedies available, each such licensor shall have the right to directly enforce the relevant provisions of these Usage Policies against you.
11. Trademarks
The logo and all other product or service marks are trademarks of PrimeEcomSetup Inc. All other trademarks, logos, images, product names, and company names displayed or referenced on the Website or any device are the property of their respective owners. Nothing in these Usage Policies grants you any license or right to use, alter, or remove such materials.
12. Force Majeure
PrimeEcomSetup Inc shall not be liable to you for any failure or delay in the performance of its obligations under these Usage Policies due to events beyond its reasonable control, including, without limitation, denial-of-service attacks, strikes, shortages, riots, insurrections, fires, floods, storms, explosions, acts of God, war, terrorism, governmental actions, labor conditions, earthquakes, material shortages, failure of the internet, extraordinary connectivity issues experienced by major telecommunications providers unrelated to PrimeEcomSetup Inc infrastructure or internet connectivity, or failures at a PrimeEcomSetup Inc co-location facility (each a "Force Majeure Event").
Upon the occurrence of a Force Majeure Event, PrimeEcomSetup Inc shall be excused from further performance of its obligations affected by the Force Majeure Event for as long as the event continues and for any additional period reasonably required to recover from its effects.
13. Disclaimer of Warranties
You expressly understand and agree that your use of the Website and/or the Online Service is at your sole risk. PrimeEcomSetup Inc and its suppliers provide the Online Service on an "as is" basis and without any warranty or condition of any kind, whether express, implied, statutory, or otherwise, including, but not limited to, implied warranties of merchantability, fitness for a particular purpose, workmanlike effort, title, and non-infringement.
PrimeEcomSetup Inc makes no warranty that the Website or the Online Service will meet your requirements or will be uninterrupted, timely, properly stored, properly delivered, accurate, secure, error-free, or free of viruses or other harmful components. PrimeEcomSetup Inc further makes no warranty that the quality of any products, services, information, or other materials purchased or obtained through the Online Service will meet your expectations.
Any material transmitted or otherwise obtained through the use of the Online Service is obtained at your own discretion and risk. You will be solely responsible for any damage to your computer system or loss of data resulting from the transmission or use of such materials.
14. Governing U.S. Law and Jurisdiction
These Terms are governed by the laws of the State of Florida, United States of America. You may bring legal proceedings relating to these Website Usage Policies within the State of Florida, United States.
As a consumer, you will benefit from any mandatory provisions of applicable U.S. law. Nothing in these Website Usage Policies, including the paragraph above, affects your rights as a consumer to rely on any mandatory provisions of applicable law.
